The Website is operated by Artisan Gourmet Wholesale Pty Ltd ABN 92 680 914 167 ("we", "us", "our"), a wholesale food manufacturer and supplier located at 25/8 Gladstone Road Castle Hill NSW 2156.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website. These Terms should be read together with our Privacy Policy.

1. About these Terms

These Terms govern your access to and use of the Website only. They do not govern the supply of products by us. The terms on which we supply products to wholesale customers are set out and agreed separately (see clause 6).

Your continued use of the Website after changes are published means you accept the updated Terms.

6. Supply of products is governed separately

We supply products to wholesale customers on commercial terms that are established and agreed directly with each customer, separately from these Terms and from the Website.

Those commercial terms may be set out in documents such as a wholesale or credit account application, a trade account agreement, our standard supply or trading terms, quotes, price lists, and order confirmations. Those documents govern matters including ordering, pricing, payment and credit, delivery, title and risk, product specifications, food safety and handling, returns, and the parties' respective liabilities.

Nothing on the Website, and nothing in these Terms, constitutes an offer to supply products, creates a supply contract, or varies any commercial terms agreed between you and us. If there is any inconsistency between these Terms and the commercial terms agreed directly between you and us, the commercial terms agreed directly between you and us prevail in relation to the supply of products.

7. Disclaimer and liability

7.1 Website provided "as is"

The Website and its content are provided on an "as is" and "as available" basis. While we take care in preparing the Website, we do not warrant that the information on the Website is accurate, complete, current, or free from error, and the Website should not be relied on as the sole basis for any decision.

7.2 Consumer guarantees

This clause 7 relates to your use of the Website. It does not limit or affect any liability arising under the commercial terms referred to in clause 6, which deal with liability in relation to the supply of products separately.

9. General

9.1 Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from them.

9.2 Severability

If any part of these Terms is held to be unlawful, invalid, or unenforceable, that part will be severed and the rest of the Terms will continue in force.

9.3 No waiver

A failure by us to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

9.4 Entire agreement

These Terms, together with our Privacy Policy, form the entire agreement between you and us in relation to your use of the Website. The supply of products is governed separately as set out in clause 6.
